Limited Company Formations as stated on our home page, we are company formation agents. Choosing any one of the packages we offer will mean having your own limited company formed quickly and easily whether it a company limited by shares or limited by guarantee. The company you choose is formed at the time of order with your own choice of name and specifications, and is not what is termed “of the shelf”. The advantage of our system is that you get exactly what you require, named directors, secretary, shareholders etc. To successfully register your UK limited company is made easy and simple by our use friendly online system.

 Enter your preferred payment information.
 Finally submit your application.

We will then track your application at Companies House and providing the details given passes Companies House guidelines we should have your company registered within 4 hours, providing the application is submitted before 11:00 am.

DORMANT COMPANY
On formation your Limited Company need not be registered as a company that usually commences trading immediately it can be registered as dormant, (i.e. Non-trading) allowing you to continue to trade as a sole trader, partnership effectively putting your new company on the shelf with the minimum of formality until it is required. When you decide the time is right to complete the conversion of your business to Limited Company status the transition will be a smooth one as not only will you be able to trade immediately as a Limited Company you will be assured that you may continue to trade under your now familiar name without the loss of business that a change in name can often bring.

DIRECTOR(S) and SECRETARY
Every Private Limited Company must have at least one director and one secretary. One person can hold office as both director and secretary providing there is at least one other director. A minimum of two officers are required to legally form a Limited Company. An undischarged bankrupt or a person subject to a disqualification order cannot be a director or be concerned in the information, promotion or management of a company.

SHARES AND SHAREHOLDER
All companies must be registered with a minimum of one share which is taken by one subscriber, the minimum number of shares and shareholders legally required.

REGISTERED OFFICE FACILITY
All limited companies must have a registered office to receive official mail. Official mail consists of correspondence from Companies House and other Government agencies together with mail from UK courts. Many of our clients prefer not to have mail official or otherwise delivered directly to their trading address (for example if this is also their home address) and therefore choose our registered office facility. All official mail is received and then forwarded on to an address of your choice. For fees see list below.

NOMINEE SECRETARY
We can provide a Nominee Secretary service for clients who are looking to incorporate a company but do not have the requirements of two persons in order to complete the incorporation. The acting nominee secretary service is in name only and does not take any part in the running activities of the company or its financial business affaires.

NOMINEE DIRECTOR
If you do not have the required two individuals to form a Limited Company, we can provide a nominee director, The acting nominee director service is an administration service is in name only and does not take any part in the running activities of the company or its financial business affaires.

NOMINEE SHAREHOLDER
It is sometimes necessary for the shareholders in a limited company to remain anonymous and appoint nominees to hold shares on their behalf incognito.
